Firetides Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Firetides, LLC (doing business as “Firetides”). They govern your access to and use of https://firetides.com (the “Site”) and any purchase from Firetides, LLC. By accessing the Site, creating an account, or placing an order, you agree to these Terms.

1) Eligibility

You must be at least 21 years of age to access or purchase from this Site. By using the Site and placing an order, you represent and warrant that you are 21 or older.

2) Research Use Only, no medical use, and regulatory status

Firetides supplies products labeled and sold strictly for laboratory research use only (“RUO”). Products are intended for in vitro laboratory and scientific research purposes only.

Products are not for human or animal use, including consumption, injection, diagnosis, treatment, cure, prevention of disease, or any therapeutic or veterinary purpose.

Any statements, information, or materials on the Site have not been evaluated by the U.S. Food and Drug Administration (FDA). Products are not intended to diagnose, treat, cure, or prevent any disease.

Firetides, LLC operates as a chemical supplier. Firetides, LLC is not a pharmacy, does not dispense prescription drugs, and does not compound patient specific medications. Firetides, LLC is not a compounding pharmacy under Section 503A of the Federal Food, Drug, and Cosmetic Act.

Nothing on the Site, in emails, in customer support, or in any materials provided by Firetides constitutes medical advice or clinical guidance.

3) Buyer representations and lawful use certification

By placing an order, you represent, warrant, and agree that:

• You are purchasing solely for lawful laboratory research purposes and in compliance with all applicable laws and regulations.
• You have the knowledge, training, and facilities required to safely handle, store, transport, use, and dispose of chemical research materials.
• You will follow appropriate safety procedures and applicable workplace, laboratory, and hazardous materials standards.
• You will not use, and will not permit any third party to use, products in or on humans or animals.
• You are not purchasing for personal use of any kind.
• You will not resell, redistribute, or transfer products without Firetides’ prior written consent.
• All information you provide to Firetides, LLC, including identity, age, affiliation, shipping details, and intended use, is accurate and not misleading.

4) Prohibited conduct

You agree you will not:

• Use products in or on humans or animals.
• Use products for any diagnostic, therapeutic, or medical purpose.
• Misrepresent your qualifications, affiliation, intended use, or identity.
• Attempt to bypass purchase limits, compliance checks, fraud controls, or verification requests.
• Use the Site in a way that violates any applicable law or infringes the rights of others.

5) Orders, verification, and right of refusal

All orders are subject to acceptance by Firetides, LLC. We may refuse, cancel, limit quantities, or refund any order at any time, including if we suspect misuse, unlawful intent, fraud, high chargeback risk, policy violations, or non-compliance with these Terms.

We may request additional information before fulfilling an order, including proof of identity, proof of age, proof of institutional or research affiliation, and intended use confirmation. If you do not provide requested verification, we may cancel and refund your order.

6) Pricing, taxes, and payment

Prices may change without notice prior to order acceptance. You are responsible for all applicable taxes, duties, and fees unless stated otherwise at checkout.

Payments are processed by third-party payment providers. Firetides, LLC does not store full card information.

7) Shipping, delivery, title, and risk of loss

Shipping timelines are estimates and not guarantees. Firetides, LLC is not responsible for delays caused by carriers, customs, weather, or events outside our control.

Title and risk of loss transfer to you when the shipment is tendered to the carrier, except where applicable law provides otherwise.

If optional shipping protection or insurance is offered at checkout, you are responsible for selecting it if you want coverage beyond the carrier’s default liability. If you decline optional protection, you agree Firetides, LLC is not liable for loss, theft, or damage in transit beyond what is required by applicable law.

8) Returns, refunds, and cancellations

Returns may be accepted only if the product is unopened, unused, and in original condition, and only within the return window displayed on the Site at the time of purchase. Due to the nature of chemical materials, some items may be non-returnable.

Order cancellations are accepted only if requested before fulfillment begins. Fees may be deducted from refunds where permitted by law, including shipping, processing, and handling fees. Refund and return details displayed on the Site are incorporated into these Terms.

9) Chargebacks and payment disputes

If you believe a charge is incorrect, contact us first at info@firetides.com so we can investigate. You agree to provide a reasonable opportunity to resolve the issue before initiating a chargeback, except where applicable law provides otherwise.

10) Product information and responsibility

Product descriptions, specifications, and documentation are provided for general informational purposes and may change without notice. You are responsible for determining suitability for your lawful research use, and for compliance with all handling, storage, and disposal requirements.

11) Assumption of risk and safety responsibilities

You acknowledge that chemical materials involve inherent risks. You assume all risks associated with possession, handling, storage, use, disposal, resale, or transfer of products. You are responsible for maintaining any required permits, licenses, registrations, and approvals.

12) Disclaimer of warranties

To the maximum extent permitted by law, the Site and products are provided “as is” and “as available,” without warranties of any kind, express or implied.

Firetides, LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent such warranties cannot be disclaimed under applicable law.

13) Limitation of liability

To the maximum extent permitted by law, Firetides, LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, business interruption, personal injury, or property damage, arising out of or related to the Site or products, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Firetides, LLC will not be liable for misuse, improper handling, unlawful application, unauthorized resale or transfer, or any use inconsistent with product labeling or these Terms.

To the maximum extent permitted by law, Firetides, LLC’s total liability for any claim arising out of or related to a product order will not exceed the amount you paid to Firetides, LLC for the specific product(s) giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14) Indemnification

You agree to defend, indemnify, and hold harmless Firetides, LLC and its owners, officers, directors, employees, contractors, affiliates, suppliers, and agents from and against any claims, damages, losses, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• your purchase, possession, handling, storage, use, disposal, resale, or transfer of products
• your breach of these Terms or your representations
• your violation of any law or regulation
• your negligence, misconduct, or improper handling
• any use of products in or on humans or animals, whether by you or by any third party who obtains the products from you

15) Intellectual property

All Site content, including logos, branding, product descriptions, images, and media, is owned by Firetides, LLC or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

16) Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. We may suspend or terminate accounts for suspected misuse, fraud, or violations of these Terms.

17) Third-party services and links

The Site may include third-party tools or links. Firetides, LLC is not responsible for third-party content, policies, or practices.

18) Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Site, you agree to the Privacy Policy, which is incorporated into these Terms by reference.

19) Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your rights.

You and Firetides, LLC agree that any dispute, claim, or controversy arising out of or relating to the Site, products, or these Terms will be resolved by binding arbitration administered by a recognized arbitration provider, under its consumer or commercial rules as applicable, except that either party may bring an individual claim in small claims court if it qualifies.

Arbitration will be conducted on an individual basis. You and Firetides, LLC waive any right to bring or participate in a class action, class arbitration, private attorney general action, or representative action, to the maximum extent permitted by law.

The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve the individual claim.

If any part of this section is found unenforceable, the remainder will be enforced to the fullest extent permitted by law.

20) Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. If a dispute is not subject to arbitration, it must be brought in state or federal courts located in Orange County, California, unless applicable law requires otherwise.

21) Changes to these Terms

Firetides, LLC may update these Terms at any time. Continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

22) Force majeure

Firetides, LLC is not liable for any failure or delay in performance caused by events beyond our reasonable control, including carrier delays, weather, natural disasters, labor disputes, power or internet outages, governmental actions, and other force majeure events.

23) Severability, waiver, and assignment

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

Failure to enforce any provision is not a waiver of the right to enforce it later.

You may not assign these Terms without Firetides, LLC’s prior written consent. Firetides, LLC may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.

24) Entire agreement

These Terms, together with the Privacy Policy and any policies or notices posted on the Site and applicable to a specific purchase, constitute the entire agreement between you and Firetides, LLC regarding the Site and purchases.
